DPA Flex takes over GEOS IT Professionals


Today, DPA Flex Group N.V. (DPA Flex) has reached an agreement on the takeover of Geos IT Professionals B.V. (Geos). The company intends to add Geos to the activities of DPA Flex as a separate division as from January 1, 2007. The results of Geos shall be included in the consolidated figures of DPA Flex from the moment of takeover. The takeover will be financed from outside funds to be procured. New DPA Flex shares will not be issued.
 
Geos was established in The Hague in 1998. Geos provides secondment of Oracle, SAP and Siebel professionals for governmental and semi -governmental organisations and the Dutch corporate sector. Within these applications Geos provides both technical and functional services to its clients. The company operates on the cutting face of the IT and financial segment.
 
The takeover of Geos further extends DPA Flex's multidisciplinary package of services and enables DPA Flex to take a next step in carrying out its growth strategy. The knowledge and expertise in the field of the mentioned applications and the technical development of the interim professionals of Geos is complimentary to that of DPA Flex. The expertise of Geos is a welcome addition to the organization of the infrastructure and administration and the control function from the services currently provided by DPA Flex.
 
The philosophy with regard to the interim professional of Geos corresponds with that of DPA Flex. Both organizations feel very strongly about transparent rewards and a good balance between freedom and responsibility. With regard to its clients, DPA Flex focuses on fulfilling the total hiring need. By taking over Geos, DPA Flex is able to improve the services to its clients in many levels of expertise.
 
Geos employs approximately 100 interim professionals and is a profitable business. The company achieved sales of well over € 8.7 million in 2005. For 2006 Geos is expecting to achieve sales of well over € 11 million with an EBIT of € 2.5 million. The total number of DPA Flex interim professionals increases to approximately 1,300. Through the integration of back office activities and the advantages achieved from scale size, DPA Flex is expecting the cost synergy to amount to an annual 0.3 million euro.

Together with the takeover DPA Flex hereby announces that the supervisory board intends to nominate Jan van Duijn (43) as company CFO. Before today Jan van Duijn worked at USG People N.V. Jan van Duijn has broad experience in the temporary and secondment sector. The transaction and nomination shall be presented for approval during the extraordinary general meeting of shareholders on January 16, 2007.
 
In his capacity as Corporate Director F&A and ICT and in cooperation with the takeover team of USG People, Jan van Duijn prepared the takeover of Solvus International N.V in 2005, a company quoted on the Belgian stock exchange, and was appointed member of the Executive Committee of USG People as Corporate Vice President F&A and ICT after the takeover of this company. As Financial Director, Director Shared Service Center and manager at corporate level, he was responsible for all Shared Service Centers (SSC's) in Europe, ICT policy, processes and procedures throughout all countries and for Corporate Purchasing.
 
The management of DPA Flex has based its choice for Jan van Duijn on his background, his sector specific knowledge gained in a strongly growing organisation and on his experience with integrations. The members of the supervisory board believe that Jan van Duijn will be a valuable addition to the present knowledge and experience within the organisation. As from January 2, 2007 he will be active at DPA Flex in the position of CFO.
