The Transferee is a person under control of ACP and Indrek Rahumaa in the meaning of the Securities Market Act. The transferred shares of the Company constitute 54.12% of the share capital of the Company. The transfer of the shares of the Company from ACP to the Transferee was carried out pursuant to an agreement for the transfer of contribution in-kind (concluded on 26 June 2007) under which ACP has made a non-monetary contribution to the share capital of the Transferee.
