NCC's Annual General Meeting on April 14

The Annual General Meeting of NCC AB shareholders will be held on April 14 at
Grand Hôtel, Vinterträdgården in Stockholm. The meeting will start at 4:30 p.m.
and registration will commence at 3:30 p.m. 



The Nomination Committee proposes reelection of Antonia Ax:son Johnson, Tomas
Billing, Ulf Holmlund, Ulla Litzén and Marcus Storch. Fredrik Lundberg has
declined reelection. Christoph Vitzthum, born in 1969 and a Master of Economics,
is proposed as new Member of the Board. He is a member of the executive
management team of the Finnish industrial group Wärtsilä Oyj (publ) and is head
of the business area Wärtsilä Services. It is proposed that Tomas Billing be
elected as Chairman of the Board of Directors. 

Shareholders representing more than 50 percent of the total voting rights in NCC
AB propose the following Nomination Committee: reelection of Viveca Ax:son
Johnson and new election of Kerstin Stenberg, Member of the Board of Swedbank
Robur Fonder AB, and Peter Rudman, Director of Corporate Governance, Nordea
Investment Funds. It is proposed that Viveca Ax:son Johnson be elected as
chairman of the Nomination Committee.

The Board of Directors proposes that the Annual General Meeting approve a
dividend of SEK 6.00 (4.00) per share for the 2009 fiscal year. The Board of
Directors proposes Monday, April 19, 2010 as the record date for dividends. If
the Annual General Meeting approves the proposition, it is estimated that
Euroclear Sweden AB will distribute dividend payments on Thursday, April 22. 

The Board of Directors proposes that the guidelines for determining salaries and
other remuneration  to the President and other members of company management,
that were adopted at the 2009 Annual General Meeting will continue to be applied
in all essential respects.
It is proposed that director fees be paid in a total amount of SEK 2,450,000,
distributed in an unchanged manner so that the Chairman of the Board receives
SEK 575,000 and each other member receives SEK 375,000.

Furthermore, it is proposed that the Board of Directors be authorized by the
Annual General Meeting to repurchase the Company's shares on one or more
occasions up to the next Annual General Meeting.
