The management board of Comarch Software und Beratung AG announces that the
company's share capital will be increased from EUR 2,160,000.00 to EUR
6,213,072.00 based on the capital increase for cash with subscription
right. The new shares were issued at a subscription price of EUR 1.70 per
share.

The issue proceeds amount to EUR 6.9 million in round numbers. The funds
from the capital increase are mainly earmarked to reinforce the equity
basis. The company's principal shareholder, Comarch AG of Dresden, acquired
a total of 3,988,288 new shares and will thus hold 92.32% of the company's
share capital once the implementation of the capital increase has been
entered in the commercial register.

The application for the entry of the implementation of the capital increase
in the commercial register as well as the admission of the new shares
generated from the capital increase for trading at the Frankfurt Stock
Exchange are currently being prepared.

The transaction has been supported by Baader Bank AG, Unterschleißheim.
