Capital Increase in Genmab as a Result of Execution of a Private Placement to Johnson & Johnson Development Corporation

  • Genmab increases its share capital by nominally DKK 5,400,000 as a result of a private placement to Johnson & Johnson Development Corporation in connection with the daratumumab license agreement with Janssen Biotech, Inc., one of the Janssen Pharmaceutical companies of Johnson & Johnson

Copenhagen, Denmark; October 16, 2012 – Genmab A/S (OMX: GEN) announces completion of the private placement of 5,400,000 new shares of DKK 1 nominal value each in Genmab A/S at a subscription price of DKK 88 per new share to Johnson & Johnson Development Corporation, raising gross proceeds to Genmab of DKK 475,200,000.

The private placement, which is made in connection with the global license and development agreement for daratumumab (HuMax®-CD38) between Genmab and Janssen Biotech, Inc., one of the Janssen Pharmaceutical companies of Johnson & Johnson, was originally announced on August 30, 2012 (Company Announcements 20, 21 and 22).

Genmab's current share capital amounts to DKK 50,307,142 after registration of the capital increase with the Danish Business Authority. Genmab's new articles of association will be published separately and are available at Genmab's website, www.genmab.com.

It is expected that the new shares will be admitted to trading and official listing on NASDAQ OMX Copenhagen A/S on October 17, 2012.

About daratumumab
Daratumumab is a human CD38 monoclonal antibody with broad-spectrum killing activity. Daratumumab is in clinical development for multiple myeloma (MM). Daratumumab targets the CD38 molecule which is highly expressed on the surface of multiple myeloma cells. Daratumumab could also have potential in other cancers on which CD38 is expressed, including diffuse large B-cell lymphoma, chronic lymphocytic leukemia, acute lymphoblastic leukemia, plasma cell leukemia, acute myeloid leukemia, follicular lymphoma and mantle cell lymphoma.
