AD-HOC ANNOUNCEMENT ACCORDING TO § 15 WPHG

Considerably improved 3rd quarter result

Guidance for financial year 2012 reduced

Gütersloh, October 24 2012 - Currently Reply Deutschland AG is still in the
process of period-end closing. Based on the preliminary quarterly results
and the updated forecasts of the various business units we give the
following view on the quarter and further course of business in 2012.

Quarterly results significantly improved.

In the third quarter 2012, revenues of 14.8 m. euros were achieved, 15%
more than in the third quarter 2011 and 5% more than in the second quarter
2012. The earnings before interest, tax and amortization (EBITDA) in the
third quarter 2012 amounted to 1.1 m. euros, doubled compared to the second
quarter 2012 and nearly on the level of the results of the third quarter
2011 again.

.but trail below annual plan

In the first six months of 2012 Reply Deutschland has approximately moved
on the announced development path. In the third quarter the target revenues
and earnings could not be achieved despite a positive trend and development
during the year. Particularly the investments in 2 startup companies have
not had the desired success yet.

Guidance for 2012 reduced

From today's perspective the planned business increase will proceed
slightly slower than planned. Against this background the Executive Board
is now expecting an annual turnover close to last year's level and the
full-year EBITDA margin in the range of 6% to 6.5%. At the beginning of the
year a single-digit increase in revenues and an EBITDA margin of more than
10% were expected.

The complete report on the third quarter 2012 will be published on October
31st, 2012 as planned.
