Lundbergs’ Annual General Meeting


Lundbergs’ Annual General Meeting adopted on Thursday the Board of Directors’
motion that a dividend of SEK 5.30 per share be paid for the 2015 fiscal year.
The record date for the dividend is April 25, 2016 and the dividend payment date
is April 28, 2016.

Carl Bennet, Lilian Fossum Biner, Mats Guldbrand, Louise Lindh, Fredrik
Lundberg, Katarina Martinson, Sten Peterson and Lars Pettersson were re-elected
as Members of the Board and Staffan Grefbäck was newly elected as Member of the
Board. Mats Guldbrand was elected Chairman of the Board. KPMG AB was elected
auditor for a term of office of one year.

Staffan Grefbäck, 61 years, has a Bachelor of Arts degree. He is Board member of
the Swedish Insurance Federation, the Insurance Employers’ Organization and the
Foundation for Strategic Research. Staffan has been president of Alecta since
2009 and will step down from this position in April 2016. His previous
experience includes being head of investment management at Alecta and Nordea.

The Meeting also resolved that director fees be paid in a total amount of SEK
2,600,000, of which SEK 780,000 is to be paid to the Chairman of the Board and
SEK 260,000 to each other Member of the Board, apart from the President.
Furthermore, the Meeting adopted guidelines for remuneration to the executive
management in accordance with the Board´s proposal.

In accordance with a motion from the Board, the Board was authorized to make
decisions regarding the purchase of Series B Lundberg shares during the period
up to the next Annual General Meeting. The shares are to be purchased on Nasdaq
Stockholm, subject to the limit that Lundbergs’ holding of treasury shares may
not exceed 10% of the total number of the Company´s shares.

During his address to the Meeting, Lundbergs’ President Fredrik Lundberg
reported on the Company’s business trend. At April 19, 2016, L E
Lundbergföretagen’s market-valued holdings were preliminarily valued at SEK 59
billion.

It was also reported that on April 19, 2016 the net asset value after deferred
tax amounted to SEK 471 per share, compared with SEK 451 per share on December
31, 2015.
