Nordea Bank Finland Plc (the ”Issuer”) issues a series (B351) of Equity Linked Notes due 21 June 2019, Aktiebevis US Homebuilders (USD) 2019, denominated in Danish Kroner (“DKK”) with ISIN Code DK0030381066 and Common Code 141964984 (the "Notes").
The Notes are to be issued on 23 June 2016 and will be redeemed on 21 June 2019 in accordance with performance structure "Booster Long" with Basket Cap and FX provisions applicable. The return of the Notes depend on four factors; the performance of a basket of 10 shares (the “Reference Asset(s)”), a Basket Cap of 25%, a Participation Ratio of indicatively 200.00 per cent and the development in the FX Rate USDDKK, expressed as the number of Danish Kroner it takes to buy one (1) U.S. dollar.
Full information on the Issuer and the offer of the Notes is only available on the basis of the combination of the Final Terms of the Notes dated 3 June 2016 and the Base Prospectus, as so supplemented.
The offer period for the Notes will take place during the period from 6 June 2016, 9:00 CET until 17 June 2016, 16.00 CET. The Aggregate Nominal Amount of the Notes and the final Participation Ratio will be determined after the subscription period and announced in a Final Terms Confirmation Announcement through NASDAQ Copenhagen.
The Issuer reserves its rights to cancel the offer if the aggregate principal amount of Notes subscribed on or before the Issue Date is less than DKK 50,000,000, if the Participation Ratio cannot be set to at least 150.00 per cent, or if any event of an economic, financial or political nature occurs and which may jeopardise a successful offer, as determined by the Issuer. The Issuer may also replace a Reference Asset at any time on or prior to Issue Date by a comparable type of underlying Reference Asset.
The Notes, if issued, will be registered with VP Securities A/S on 23 June 2016 and be admitted to trading and official listing on NASDAQ Copenhagen with the first day of trading on the same day.
