Brower Piven Announces The Filing of a Class Action Lawsuit Against TubeMogul, Inc. - TUBE


STEVENSON, Md., Dec. 26, 2016 (GLOBE NEWSWIRE) -- The securities litigation law firm of Brower Piven, A Professional Corporation, announces it has commenced  a class action the United States District Court for the Northern District of California on behalf of holders of the common stock of TubeMogul, Inc. On November 10, 2016, Adobe announced that it had entered into a definitive agreement under which it will commence a tender offer to acquire TubeMogul for $14 per share in cash, for a total purchase price of approximately $540 million net of debt and cash. The complaint alleges that the proposed consideration is inadequate in light of TubeMogul’s true value and its growth prospects.  The complaint further alleges that the Schedule 14D-9 Recommendation Statement filed with the SEC provides materially incomplete and misleading information about the Company and the proposed transaction, in violation of the Exchange Act.
