Tech Data Corporation Announces Pricing of Notes Offering


CLEARWATER, Fla., Jan. 24, 2017 (GLOBE NEWSWIRE) -- Tech Data Corporation (NASDAQ:TECD) (“Tech Data”) today announced the pricing of its public offering of $500,000,000 aggregate principal amount of its 3.700% Senior Notes due 2022 and $500,000,000 aggregate principal amount of its 4.950% Senior Notes due 2027. The offering is expected to close on or about January 31, 2017.

Tech Data expects to receive net proceeds from this offering of approximately $990 million, after deducting underwriting discounts and estimated offering expenses. Tech Data intends to use the net proceeds to fund a portion of the purchase price of the proposed acquisition (the “Acquisition”) by Tech Data of AVT Technology Solutions LLC and TS Divestco B.V., which will hold all assets and liabilities primarily relating to Avnet Inc.’s Technology Solutions business (the “Acquired Business”), pursuant to an Interest Purchase Agreement, dated September 19, 2016, and to pay certain costs associated with the Acquisition.  Tech Data intends to use any remaining net proceeds for general corporate purposes.

BofA Merrill Lynch, Citigroup and J.P. Morgan are acting as joint book-running managers for the offering of the Notes.
