Auris Medical Announces Closing of $10 Million Public Offering

Zug, Switzerland, February 21, 2017 - Auris Medical Holding AG (NASDAQ: EARS), a clinical-stage company dedicated to developing therapeutics that address important unmet medical needs in otolaryngology, today announced the closing of its previously announced public offering of 10,000,000 common shares and 10,000,000 warrants, each warrant entitling its holder to purchase 0.70 of a common share. The warrants are exercisable for five years. The common shares and warrants were sold in units comprised of one common share and one warrant at a public offering price of $1.00 per unit. Net proceeds to the Company from the sale of the units were approximately $9.1 million. The Company intends to use the net proceeds from the offering for working capital and general corporate purposes.

The Company also announced the closing of the sale of an additional 1,350,000 warrants pursuant to the underwriter's partial exercise of its 30-day option to purchase up to 1,500,000 additional common shares and/or 1,500,000 additional warrants at the public offering price less underwriting discounts.

Roth Capital Partners acted as sole book-running manager in the offering. Maxim Group LLC acted as a financial advisor in the offering.
