Asta Funding, Inc. Announces Final Results of its Tender Offer


ENGLEWOOD CLIFFS, N.J., Feb. 22, 2017 (GLOBE NEWSWIRE) -- Asta Funding, Inc. (NASDAQ:ASFI) (“Asta” or the “Company”) today announced the final results of its self-tender offer, which expired February 15, 2017, at 11:59 p.m., New York City time. Based on the final count by American Stock Transfer & Trust Company, LLC, the depositary for the tender offer, a total of approximately 6,022,253 shares of the Company’s common stock were validly tendered and not validly withdrawn.

Because the tender offer is oversubscribed by 708,244 shares, the Company will purchase only a prorated portion of the shares properly tendered by each tendering stockholder. The depositary has informed the Company that the final proration factor for the tender offer is approximately 88.24% of the shares validly tendered and not validly withdrawn. American Stock Transfer & Trust Company, LLC will promptly issue payment for the shares accepted pursuant to the tender offer and return all other shares tendered and not purchased. The shares to be acquired represent approximately 44.7% of the total number of shares of the Company’s common stock issued and outstanding as of February 6, 2017.
