miRagen Therapeutics, Inc. Prices Public Offering of Common Stock


BOULDER, Colo., Feb. 08, 2018 (GLOBE NEWSWIRE) -- miRagen Therapeutics, Inc. (NASDAQ:MGEN), a clinical-stage biopharmaceutical company focused on the discovery and development of RNA-targeted therapies, today announced the pricing of its previously announced underwritten public offering of 7,000,000 shares of its common stock at a public offering price of $5.50 per share. The gross proceeds to miRagen from the offering are expected to be $38,500,000, before deducting the underwriting discounts, commissions and other estimated offering expenses. In addition, the Company has granted the underwriters a 30-day option to purchase up to an additional 1,050,000 shares of common stock on the same terms and conditions.

All of the common stock is being offered by miRagen. The offering is expected to close on February 13, 2018, subject to customary closing conditions.

miRagen intends to use the net proceeds from this offering for working capital and general corporate purposes, which include the funding of clinical development of its product candidates, and general and administrative expenses.

Jefferies LLC, Evercore Group L.L.C. and Deutsche Bank Securities Inc. are acting as joint book-running managers for the offering, and Wedbush Securities Inc. and Oppenheimer & Co. Inc. are acting as co-lead managers.
