(OTC Pink:WSML) (“WSML” or the “Company”) is pleased to announce that it has signed a Letter of Intent (the "LOI") for the acquisition of Royal Systems & Services Limited, a Ghana-based investment holding firm, in an all-stock transaction subject to the approval by both companies of definitive documents and the achievement of certain other milestones.
The acquisition anticipated by the LOI is the result of a process initiated following WSML's strategic review announced a week ago. If consummated, WSML will own 100% of the outstanding shares of Royal Systems and all its subsidiary companies. Royal Systems currently generates $5 million in annual revenues with a margin of 30%. The due diligence process will follow immediately coupled with a PCAOB audit on Royal Systems.
Royal Systems through its subsidiary has a 23-year (BOOT) build, own and operate agreement with Takoradi Technical University in Ghana (http://www.ttu.edu.gh/ttu/pages/) to build 3000 rooms of student accommodation which comprises 3 Units that must have 1000 rooms per unit. The first unit of 1000 rooms’ construction has already started and will be completed within 11 months.
