Killam Apartment REIT Closes $57.5 Million Public Offering of Trust Units

HALIFAX, Nova Scotia, June 26, 2018 (GLOBE NEWSWIRE) -- Killam Apartment REIT (TSX:KMP.UN) ("Killam") is pleased to announce that it has closed its previously announced public offering (the "Offering"), on a bought-deal basis, of trust units (the "Units") to the public at a price of $14.95 per Unit (the "Offering Price"). Killam issued 3,846,750 Units, including 501,750 Units on the exercise of an Over-Allotment Option (as defined below), for gross proceeds of $57.5 million.

The Offering was made pursuant to an underwriting agreement with a syndicate of underwriters led by RBC Capital Markets, and including BMO Nesbitt Burns Inc., CIBC World Markets Inc., Scotia Capital Inc., TD Securities Inc., Canaccord Genuity Corp., Desjardins Securities Inc., National Bank Financial Inc., Raymond James Ltd., BFIN Securities LP, Echelon Wealth Partners Inc. and Industrial Alliance Securities Inc. (collectively, the "Underwriters"). The Underwriters were granted the option (the "Over-Allotment Option") to purchase up to an additional 501,750 Units at the Offering Price to cover over-allotments, if any, and for market stabilization purposes, which they exercised in full.

Killam intends to use the net proceeds from the Offering to fully repay its credit facility (current outstanding balance of approximately $30.5 million), to fund future acquisitions and for general trust purposes.

The Units have not and will not be registered under the United States Securities Act of 1933, as amended (the "U.S. Securities Act"), and state securities laws. Accordingly, the Units may not be offered or sold in the United States absent registration or an exemption from the registration requirements of the U.S. Securities Act.
