SAExploration Announces Proposed Private Offering of $50 Million Convertible Secured Notes


HOUSTON, July 26, 2018 (GLOBE NEWSWIRE) -- SAExploration Holdings, Inc. (NASDAQ: SAEX, OTCQB: SXPLW), or SAE, today announced that it intends to offer, subject to market and other conditions, $50 million aggregate principal amount of 6.0% Convertible Secured Notes due 2023 in a private offering. SAE intends to use the net proceeds from the offering of the notes to repay its obligations under its existing credit facilities and for general corporate purposes. The notes will be convertible into shares of SAE’s common stock at an initial conversion price based on an equity valuation of $55.5 million, subject to customary antidilution adjustments.

The notes will be offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”).
