DIRTT’s board of directors established a special committee of independent directors in response to an inbound non-binding transaction proposal received shortly after management changes were announced earlier this year. The special committee retained independent financial and legal advisors to assist it with evaluating the proposal and to consider other strategic alternatives; however, it was determined that no strategic transaction should be pursued at the present time. The special committee was disbanded accordingly.
