Archrock Announces Pricing of $500 Million of Senior Notes


HOUSTON, March 07, 2019 (GLOBE NEWSWIRE) -- Archrock, Inc. (NYSE: AROC) (“Archrock”) today announced the pricing of the previously announced private offering by Archrock Partners, L.P. (“Archrock Partners”), a wholly-owned subsidiary of Archrock, of $500 million aggregate principal amount of 6.875% senior notes due 2027 (the “Notes”) at an issue price of 100% of their face value.  The offering is expected to close on March 21, 2019, subject to the satisfaction of customary closing conditions. Archrock Partners Finance Corp., a wholly-owned subsidiary of Archrock Partners, will serve as co-issuer of the Notes. Archrock Partners intends to use the net proceeds of the sale of the Notes to redeem its 6.000% senior notes due 2021 and partially repay outstanding borrowings under its revolving credit facility.

The Notes have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), or any state securities laws and, unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and the rules promulgated thereunder and applicable state securities laws. The Notes will be offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act and non-U.S. persons in transactions outside the United States in reliance on Regulation S under the Securities Act.
