Surgery Partners, Inc. Announces Closing of Public Offering of Common Stock and Exercise in Full of Underwriters’ Option to Purchase Additional Shares


BRENTWOOD, Tenn., Nov. 15, 2021 (GLOBE NEWSWIRE) -- Surgery Partners, Inc. (Nasdaq: SGRY) (“Surgery Partners”) today announced the closing of its previously announced underwritten public offering of 6,900,000 shares of its common stock at a public offering price of $46.50 per share, which includes 900,000 shares of common stock issued upon the exercise, in full, by the underwriters of an option to purchase additional shares from Surgery Partners. The gross proceeds from the offering, before deducting the underwriter discounts and commissions and other offering expenses, were approximately $320.9 million.

BofA Securities, J.P. Morgan Securities LLC and Jefferies LLC acted as lead bookrunning managers, and Barclays Capital Inc., SVB Leerink LLC, KKR Capital Markets LLC and Macquarie Capital (USA) Inc. acted as joint bookrunning managers for the public offering.

Surgery Partners intends to use its net proceeds from the public offering for general corporate purposes, which may include, but is not limited to, funding acquisitions, repaying indebtedness, capital expenditures and funding working capital.
